| In Thailand, the firm is known as International Legal Counsellors Thailand, or "ILCT". With ten (10) resident partners and, as of this writing 29 associate lawyers, plus 14 trained paralegals, most of whom are multilingual, together with other support staff, we are 87 in number. With its over 42-year history, ILCT was one of the pioneer law offices engaging in the business law practice in Thailand. Work in this field includes advising banks, finance companies, insurance companies and the like on banking law and regulations, often in connection with advising these clients on how to structure their innovative financing products. We have helped structure new forms of loan, equity and quasi-equity transactions. We frequently are engaged to draft or review both local and international loan transactions, including the syndication of jumbo loans among whom were several syndicates of Japanese banks in connection with loans to the Royal Thai Government, drafting of multicurrency loans, and the structuring and implementation of various forms of security for credit extended as well as with the creation of exotic financing and securitization instruments. We have dealt with loan work out situations. We are general counsel to several branches of foreign banks doing business in Thailand as well as to several finance companies and insurance companies. In addition, we have worked with more than 75 foreign financial institutions with regard to their interests in Thailand, in one form or another. We also have been retained to represent borrowers, although this is relatively less frequent due to the probability of a conflict of interest.
We assisted with the Thai legal aspects of the global mergers of the Bank of Tokyo-Mitsubishi Bank and of the Chemical Bank-Chase Manhattan Bank, N.A.
All of our non U.S. offices serve as general counsel to one or more local financial institutions or branches of foreign financial institutions. It is common for the same financial institution to use our services wherever we are located.
